These Promotion Terms govern the Free Website Promotion (“Promotion”) offered by Pointe Noir Creative Studio (“we,” “us,” or “our”), a digital agency based in Winnipeg, Manitoba. By applying, you agree to these terms. Selected winners will also sign the Free Website Services Agreement.

These pages are operational terms for the Promotion. They are not a substitute for independent legal advice.

1. Overview and limit

We will award up to ten (10) complimentary website projects under this Promotion. This is not a random draw. Applications are reviewed for eligibility. Spots are filled until ten projects are awarded and completed under these terms, or until we close the Promotion.

2. Eligibility

To be eligible, you must:

• Operate a legitimate business (or be authorized to apply on its behalf)
• Be able to supply logo, text, images, and timely feedback
• Submit one application per business
• Provide a qualifying referral as described below

We may decline applications that are incomplete, duplicate, fraudulent, outside our capacity, or otherwise unsuitable for this Promotion.

3. Referral requirement and unlock

At the time of application you must name a real referred business contact who needs a website. We may contact that business about their needs.

Design and development for your complimentary website starts only after the referred business purchases a design plan from us. Until that unlock occurs, no build work is owed under the Promotion.

Fake, unreachable, or unauthorized referral contacts may disqualify your application. The referred business is not automatically entitled to a free website unless separately selected under the ten-spot limit.

4. What’s included

Each awarded complimentary website includes:

• Up to five (5) pages
• Mobile-ready design
• Basic on-page SEO
• A contact form
• Three (3) revision rounds
• Target delivery of two to four (2–4) weeks after kickoff, once the referral unlock and required content are in place

Content and assets are supplied by the client. We may provide light structure help for copy, not full copywriting.

5. What’s not included

• Hosting and ongoing maintenance
• E-commerce, membership systems, or custom applications
• Paid advertising or media buying
• Pages beyond five (available as a separate quote)
• Domain registration fees when we register a domain for you

6. Domain and hosting

You must either (a) provide a domain name you already own and can point to hosting, or (b) pay us to register a domain on your behalf. Domain fees are billed separately and are not part of the free build. Hosting is not included in the Promotion.

7. Selection and agreement

Selection is at our discretion based on eligibility, capacity, and fit. Award does not create a paid services engagement beyond the complimentary scope described here. Selected winners must sign the Free Website Services Agreement before kickoff.

8. Client timelines and termination

After referral unlock, you must provide required content and access within fourteen (14) days of our written request (or another window we agree in writing). Failure to do so, or failure to respond to feedback requests within a reasonable time, may pause or cancel your complimentary project so we can allocate the spot to another eligible applicant.

We may terminate participation if referral details are false, the referral cannot be reached after reasonable attempts, or you breach these terms or the services agreement.

9. Relationship to other policies

Use of our website remains subject to our Terms & Conditions and Privacy Policy. If there is a conflict between those documents and these Promotion Terms regarding the Promotion only, these Promotion Terms control for the complimentary offer.

10. Governing law

These Promotion Terms are governed by the laws of Manitoba and the applicable laws of Canada.
