These Terms and Conditions apply to the use of this website and to services provided by Pointe Noir Creative Studio (“we,” “us,” or “our”), a digital agency based in Winnipeg, Manitoba.

1. Services

We provide web design and development, social media management, and consulting. Project scope, fees, timelines, and deliverables are confirmed in a written proposal, statement of work, or email agreement before work begins.

2. Client responsibilities

Clients agree to provide timely feedback, access, content, and approvals needed to develop and deliver the work.

3. Intellectual property

Until invoices are paid in full, we retain ownership of work product we create. After full payment, clients receive the agreed licence or ownership rights described in the project agreement. Our process materials, templates, and unused concepts remain ours unless otherwise stated in writing.

4. Payment

Fees and payment schedules are set out in each agreement. Late or incomplete payment may pause delivery. Deposits are non-refundable once work has started, unless required by applicable law.

5. Revisions and changes

Included revision rounds are defined in the project agreement. Material scope changes may require a revised quote and timeline.

6. Website use

This site is provided for information about our agency. Do not misuse the site, attempt unauthorized access, or copy site content without permission.

7. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from use of this site or our services. Our total liability for a project is limited to fees paid for that project.

8. Governing law

These terms are governed by the laws of Manitoba and the applicable laws of Canada.
