Free Website Services Agreement

Free Website Promotion – one of 10 complimentary projects

1. Parties

This Free Website Services Agreement (“Agreement”) is entered into as of ____________________ (the “Effective Date”) between:

(together, the “Client”).

2. Promotion reference

This Agreement covers one complimentary website under Provider’s Free Website Promotion, subject to the Promotion Terms and this Agreement. In case of conflict on project delivery, this Agreement controls for the awarded Client project.

3. Scope of work

Provider will design and develop a complimentary website including:

• Up to five (5) pages
• Mobile-ready design
• Basic on-page SEO
• A contact form
• Three (3) revision rounds

Target delivery is two to four (2–4) weeks after kickoff, provided Client has supplied required content and the referral unlock is documented above. Timelines may extend if Client delays feedback or materials.

Not included: hosting, ongoing maintenance, e-commerce, custom applications, paid advertising, full copywriting, pages beyond five (quoted separately), and domain registration fees.

Hosting is not included under this Agreement.

5. Client obligations

• Provide logo, text, images, and other assets needed for the site
• Respond to feedback and approval requests within a reasonable time (generally five business days)
• Ensure referral unlock has occurred, or cooperate so unlock can be completed before kickoff
• Provide content within fourteen (14) days of Provider’s written request after unlock, unless otherwise agreed
• Ensure Client has rights to all materials supplied to Provider

6. Fees

The website build described in Section 3 is complimentary under the Promotion. Domain registration (if any), hosting, extra pages, and out-of-scope work are payable separately as agreed in writing.

7. Intellectual property

Upon completion of the complimentary deliverables, Client owns the final site files delivered for Client’s use. Provider retains ownership of process materials, templates, and unused concepts. Provider may display the completed work in its portfolio and marketing unless Client opts out in writing before launch.

8. Revisions and changes

Three revision rounds are included. Material changes to scope, page count, or features may require a separate paid quote and revised timeline.

9. Warranty and limitation of liability

The complimentary website is provided as a professional services deliverable without ongoing support unless separately engaged. To the fullest extent permitted by law, Provider is not liable for indirect, incidental, or consequential damages. Provider’s total liability under this Agreement is limited to fees actually paid by Client to Provider for related paid services (if any), and otherwise to CAD $0 for the complimentary build itself.

10. Termination

Provider may pause or terminate this Agreement if Client fails to supply content, fails to respond within a reasonable time, provided false referral information, or breaches the Promotion Terms or this Agreement. Either party may terminate by written notice if the other materially breaches and fails to cure within ten (10) days of notice where cure is reasonably possible.

11. Governing law

This Agreement is governed by the laws of Manitoba and the applicable laws of Canada.

12. Entire agreement

This Agreement, together with the Promotion Terms for background eligibility rules, is the entire agreement for the complimentary project described here. Changes must be in writing and signed or confirmed by both parties.
